TERMS & CONDITIONS

1. Services

 

1.1. Scope of Work: Ninety Nine Design offers graphic design services including but not limited to logo design, branding, marketing materials, web design, and social media graphics. The scope of work will be outlined in the project listing on our website or via discussion of your custom design work.

 

1.2. Revisions: Each project includes a specified number of revisions, as detailed in the project listing booked in on our website. Additional revisions will incur extra charges. Any design work surpassing the 5 minor amendments on design work will incur a £5 charge per minor amendment. Please note this is not including if the client wishes to change their brief (new logo sample differentiating from any of the samples provided in relation to the brief for example), and therefore would incur a new service fee if the client wishes to go ahead.

 

1.3. Turnaround Time: Mostly our next availability is stated on our instagram bio or stated upon booking via a custom order. Please contact Ninety Nine Design before booking to confirm a date of completion of your small design project or larger project - failure to do so may lead to an unexpected start date due to fluctuating orders made via our website out of our control which therefore amends our availability. Project timelines will be provided in the project listing on our website or stated upon discussion of your project/ in your pay link or invoice. Delays caused by the client’s lack of timely feedback or changes to the project scope may affect the delivery schedule. Sometimes delays may incur with print orders due to unforeseen circumstances with our suppliers and is out of our control. We will always strive to work around deadlines however this must be noted and discussed before placing your order if you wish to make this deadline.

 

 

2. Payment Terms

 

2.1. Pricing: All prices are quoted in GBP currency and are subject to change without notice. Quotes are valid for 30 days. 

 

2.2. Deposit: If a deposit is to be provided for your custom order for the value of over £100, a non-refundable deposit of 50% of the total project cost is required to begin work. 

 

2.3. Final Payment: The remaining balance is due upon project completion and before the final delivery of design files. 

 

2.4. Late Payments: Late payments may incur a 10% late fee per month.

 

 

3. Intellectual Property

 

3.1. Ownership: Ninety Nine Design retains ownership of all original artwork and source files until full payment is received. Upon full payment, ownership of the final design will transfer to the client.

 

3.2. Usage Rights: The client is granted a non-exclusive, non-transferable right to use the final design for the intended purpose of advertisement of their business. The client may not resell or redistribute the design without written permission from Ninety Nine Design.

 

3.3. Credit: Ninety Nine Design reserves the right to use the completed project in our portfolio and marketing materials. If the client wishes to keep the project confidential, this must be agreed upon in writing.

 

3.4. Third-Party Materials: If the project involves the use of third-party materials (e.g., stock images, fonts, or graphics), Ninety Nine Design will ensure that the appropriate licenses are obtained. The cost of these materials may be added to the project fee.

 

3.5. Client-Provided Materials: The client warrants that any materials provided to Ninety Nine Design for inclusion in the project do not infringe on any third-party copyrights or other intellectual property rights. The client agrees to indemnify and hold Ninety Nine Design harmless from any claims arising from the use of such materials.

 

3.6 Source Files: Unless otherwise agreed upon, the source files (such as PSD, AI, or other editable files) remain the property of Ninety Nine Design. Clients are typically provided with final deliverables in non-editable formats (e.g., PDF, JPEG, PNG).

 

 

4. Client Responsibilities

 

4.1. Materials: The client must provide all necessary materials, content, and information required for the project in a timely manner. 

 

4.2. Approvals: The client is responsible for reviewing and approving all designs and revisions. Approval in writing (email or DM is acceptable) is required before final delivery.

 

 

5. Breach of Copyright

 

5.1. Unauthorized Use: Any unauthorized use, reproduction, or distribution of Ninety Nine Design's work will be considered a breach of copyright and may result in legal action.

 

5.2. Infringement Claims: If the client believes that a third party has infringed on the copyright of the work created by Ninety Nine Design, the client should notify us immediately. We will assist in taking appropriate action to address the infringement.

 

 

 

6. Cancellation and Refunds

 

6.1. Cancellation by Client: If the client cancels the project after work has commenced, the deposit will not be refunded, and the client will be responsible for any additional work completed up to the cancellation date. If full payment has been made for an order, this will not be refunded unless 7 days notice is provided before the project date has started or work has not been started.

 

6.2. Cancellation by Ninety Nine Design: Ninety Nine Design reserves the right to cancel the project at any time, with a full refund of any payments made if work has not been started, if the client fails to adhere to these Terms or for other reasons at our discretion. 

 

6.3. Refunds: Refunds are generally not provided once work has commenced. Exceptions may be made at the discretion of Ninety Nine Design in situations where the client is not satisfied with the initial concepts and no significant progress has been made.

 

6.4. Abusive Behaviour: Ninety Nine Design maintains a zero-tolerance policy for abusive, threatening, or inappropriate behaviour towards our staff. If a client is found to be engaging in such behaviour, Ninety Nine Design reserves the right to terminate the project immediately. In such cases, the client will not be entitled to a refund, and any outstanding payments for work completed up to the termination date will remain due.

 

5.5. Dispute Resolution: If a dispute arises regarding the quality of work or other concerns, the client should contact Ninety Nine Design in writing to attempt resolution before taking further action. We are committed to working towards a satisfactory resolution for both parties.

 

 

 

7. Limitation of Liability

 

Ninety Nine Design is not liable for any indirect, incidental, special, or consequential damages, including loss of profits, revenue, data, or use, incurred by the client, whether in an action in contract or tort, arising from the use of our services.

 

 

8. Governing Law

 

These Terms shall be governed by and construed in accordance with the laws of the United Kingdom. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of the United Kingdom.

 

 

9. Amendments

 

Ninety Nine Design reserves the right to amend these Terms at any time. Changes will be effective upon posting to our website. Continued use of our services constitutes acceptance of the revised Terms.
